Terms of Engagement

[01]Engagement Framework

These Terms of Engagement govern all software engineering, UI/UX architecture, visual branding, marketing, and video production contracts provided by Electro Digital Studio (“Electro”, “we”, or “our”) to enterprise, startup, and private clients worldwide.

By signing a Statement of Work (SOW), issuing a purchase order, or engaging our team for custom deliverables, the client agrees to these terms.

[02]Intellectual Property & Code Ownership

We firmly believe our clients must own what they pay for:

• Full Transfer Upon Settlement: Upon receipt of complete milestone payments, 100% of custom source code, brand guidelines, vector files, Figma assets, and production video files are transferred exclusively to the client.
• Studio Showcase Rights: Electro reserves the non-exclusive right to feature non-confidential visual outputs in our portfolio, case studies, and studio archives, unless an explicit white-label or strict NDA clause is requested beforehand.
• Open Source & Third-Party Modules: Standard open-source libraries (e.g. React, Next.js, Tailwind CSS) incorporated in projects remain subject to their respective MIT/Apache licenses.

[03]Project Scope, Revisions & Acceptance

Each project commences with a defined Statement of Work outlining deliverables, milestones, and sprint schedules. Client revision cycles are clearly documented per phase (design approval, architectural implementation, QA testing). Any requests exceeding the initial agreed scope will be evaluated under a transparent change-order agreement.

[04]Payment Terms & Invoicing

Engagements typically operate on structured milestone schedules (e.g., 50% mobilization deposit, followed by milestone completion installments, or monthly sprint retainers). Invoices are payable via approved international wire transfer, digital payment rails, or local Egyptian bank transfers within 14 calendar days of issuance.

[05]Warranties & Architectural Support

Electro delivers software solutions and design assets aligned with modern industry benchmarks for security, web accessibility, and high performance. We provide a post-deployment 30-day warranty window for critical bug resolutions resulting directly from our custom code.

[06]Governing Law & Inquiries

These terms are governed by and construed in accordance with the applicable laws of the Arab Republic of Egypt, with disputes subject to good-faith mediation prior to commercial arbitration.
